NuoData.ai – Website Terms of Use Effective Date: June 1, 2026

Acceptance of Terms

NuoData welcomes you to our Site! The "Site" means our website and online platforms and services available at https://www.nuodata.ai/, including all NuoData product portals (NuoData Cosmo, Astra, Halo, Maestro, Spectra, Nova, and Quantum), the NuoData Community, Documentation, and any mobile or localized versions and related subdomains, in whatever format they may be offered now or in the future.

NuoData may make information, data, text, software, graphics, videos, messages, interactive features or other materials ("Content") available through the Site.

By using or accessing any part of the Site, you agree to these Website Terms of Use ("Terms"), our Privacy Policy, and all other policies or notices posted by us on the Site. These Terms may change over time, and your continued use of the Site constitutes acceptance of any updated Terms. If you do not agree to these Terms, please do not use the Site.

NuoData also offers proprietary cloud-based products and services (the "NuoData Services"). Use of the NuoData Services is subject to separate agreements such as our Master Subscription Agreement and Data Processing Addendum, and these Terms do not apply to your use of the NuoData Services except where otherwise noted.

Permission to Use the Site

You have our permission to use the Site, but only if:

you are at least 16 years old;
you are using the Site for informational and internal business purposes (personally or on behalf of your company); and
you follow all the rules and restrictions set out in these Terms.

Accounts; Passwords; Security

Certain parts of the Site may require you to create an account. When setting up your account, you must provide accurate and complete information. You are solely responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.

If you become aware of any unauthorized use of your account, you must notify us immediately at legal@nuodata.ai. NuoData will not be liable for any losses arising from unauthorized use of your account. You may not transfer your account to any other person without our prior written consent.

User Content

By "User Content," we mean any content, feedback, data, or materials you submit, upload, or post to the Site. You are solely responsible for any User Content you submit and the consequences of posting it.

By submitting User Content, you grant NuoData a worldwide, non-exclusive, royalty-free, irrevocable, perpetual, sublicensable license to use, reproduce, modify, publish, distribute, and display such User Content in connection with the operation and improvement of the Site and NuoData's services.

Restrictions on User Content and Your Conduct

You may not:

post User Content that you do not own or do not have permission to post, including material covered by copyright, patent, trade secret, privacy, or other proprietary rights;
post User Content that is inaccurate, fraudulent, misleading, illegal, obscene, defamatory, threatening, harassing, hateful, or racially or ethnically offensive;
use meta tags or hidden text utilizing NuoData's or its suppliers' product names or trademarks;
upload or transmit any malware, viruses, bots, worms, or other harmful code to or from the Site;
solicit users of the Site for commercial purposes, including transmitting unsolicited advertising or spam;
impersonate any person or entity or misrepresent your affiliation with any person or entity;
collect or gather personal information of other users from the Site without their consent; or
use the Site for any unlawful purpose or in violation of any applicable laws or regulations.

NuoData reserves the right, but not the obligation, to remove or edit any User Content that violates these Terms or that we deem inappropriate.

Intellectual Property Rights in User Content

You retain ownership of any User Content you submit. However, by posting User Content, you grant NuoData and users of the Site a worldwide, non-exclusive, royalty-free, irrevocable, sublicensable license to use, reproduce, distribute, modify, and display your User Content as part of the Site.

You represent and warrant that you have all rights necessary to grant this license and that your User Content does not infringe any third-party rights.

We Are Not Responsible for User Content

NuoData does not monitor or review User Content submitted to the Site. We do not endorse any User Content or the views expressed therein. You agree that NuoData shall not be liable for any User Content or for any loss or damage arising from your reliance on User Content.

NuoData is not a content archiving service. We do not guarantee the continued availability of any User Content and you are responsible for maintaining back-ups of content you post.

Proprietary Rights

The Site and all Content (excluding User Content) are owned by NuoData and its licensors and are protected by applicable intellectual property laws. NuoData and its suppliers retain all right, title, and interest in and to the Site and its Content, including all NuoData product names, logos, and trademarks.

You may not:

decompile, reverse engineer, or disassemble any part of the Site;
copy, reproduce, distribute, sell, or transmit any part of the Site without our prior written consent;
modify or create derivative works based on any part of the Site; or
use, export, or re-export any Content in violation of applicable laws or regulations.

NuoData Product Documentation and Resources

To the extent you access any NuoData product documentation, tutorials, certification programs, or training materials ("NuoData Resources"), you acknowledge that such NuoData Resources are provided for your personal, internal business use only. You may not distribute NuoData Resources to third parties without our prior written consent. NuoData may update or remove NuoData Resources at any time without notice.

Enforcement of Copyrights

NuoData respects the intellectual property rights of others. If you believe that content on the Site infringes your copyright, please notify us in writing. Repeat infringers may have their accounts terminated.

Site Availability

NuoData does not guarantee uninterrupted availability of the Site. Temporary interruptions may occur due to maintenance, technical issues, or events beyond our reasonable control. NuoData reserves the right to modify, suspend, or discontinue the Site or any part thereof at any time without notice or liability.

The Site may contain links to third-party websites that are not owned or controlled by NuoData. NuoData is not responsible for the content, privacy policies, or practices of any third-party websites. We encourage you to review the terms and privacy policies of any third-party sites you visit.

Warranty Disclaimer

USE OF THE SITE IS AT YOUR OWN RISK. THE SITE AND ALL CONTENT ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

NUODATA DOES NOT WARRANT THAT (i) THE SITE WILL MEET YOUR REQUIREMENTS; (ii) THE SITE WILL BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE; OR (iii) ANY CONTENT OBTAINED THROUGH THE SITE WILL BE ACCURATE OR RELIABLE.

Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, NUODATA AND ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR RELIANCE DAMAGES ARISING OUT OF OR RELATED TO YOUR USE OF OR INABILITY TO USE THE SITE, EVEN IF NUODATA HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

IN NO EVENT SHALL NUODATA'S TOTAL AGGREGATE LIABILITY TO YOU EXCEED ONE HUNDRED US DOLLARS (US $100).

Indemnification

You agree to indemnify, defend, and hold harmless NuoData and its affiliates, officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or in connection with: (i) your User Content; (ii) your use of the Site; (iii) your violation of these Terms; or (iv) your violation of any rights of any third party.

Termination and Suspension

NuoData may terminate or suspend your access to the Site immediately and without notice if you violate these Terms, engage in fraudulent or unlawful conduct, or for any other reason at NuoData's sole discretion. Upon termination, NuoData may delete your account and associated data. You agree that NuoData shall not be liable to you or any third party for any termination of your account or access to the Site.

General Terms

These Terms are governed by the laws of the State of Delaware, USA, without regard to its conflict of laws principles. Any dispute arising from these Terms or your use of the Site shall be subject to the exclusive jurisdiction of the state and federal courts located in Delaware, USA.

These Terms, together with our Privacy Policy and any other notices or policies published on the Site, constitute the entire agreement between you and NuoData regarding the Site. If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall continue in full force and effect.

NuoData's failure to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision. These Terms may not be transferred or assigned by you without NuoData's prior written consent, but may be assigned by NuoData without restriction.

YOU AGREE THAT ANY CLAIM ARISING FROM YOUR USE OF THE SITE MUST BE FILED WITHIN ONE (1) YEAR OF THE EVENT GIVING RISE TO SUCH CLAIM, OR IT WILL BE PERMANENTLY BARRED.
